Terms of Service

These Terms govern your use of paidpost.net and app.paidpost.net ("paidpost" or the "Service"), operated by Plotnikov LLC, 5900 Balcones Drive STE 100, Austin, TX 78731, USA ("we", "us", "our"). By using the Service you agree to these Terms. If you do not agree, do not use the Service.

If you use the Service on behalf of a company or another person, you confirm that you are authorized to bind them to these Terms.

Our Privacy Policy explains how we handle personal data. When you sign in, you confirm that you accept these Terms and the Privacy Policy; we record the date and version you accepted.

1. What paidpost is

paidpost is a software tool that helps creators on X (formerly Twitter) publish prices for sponsored posts and helps advertisers find creators, send offers, agree on details in a chat and track collaborations.

paidpost is a free service that helps brands and creators find each other and agree on sponsored posts. We are not a party to any agreement between a creator and an advertiser and are not responsible for whether either of them performs it — including payment, publishing, timing, content or quality. We do not publish posts on anyone's behalf and do not act as an agent, broker, escrow or payment intermediary.

paidpost is not affiliated with, endorsed or sponsored by X Corp.

2. Eligibility and accounts

• You must be at least 18 years old and able to enter into a binding contract.
• You may not use the Service if you are located in a country subject to a U.S. embargo or are on a U.S. government list of restricted parties.
• You sign in with a one-time code sent to your email. Keep access to your email secure; you are responsible for activity on your account.
• You may link only X accounts that you own or are authorized to manage. You must keep the information you provide accurate and may not impersonate another person or business.
• We send service emails (sign-in codes, collaboration notifications and reminders). Notifications and reminders are provided for convenience; we do not guarantee their delivery or timing.

3. Collaborations and payments between users

• Creators set their own prices and availability. Advertisers may propose different terms. Any agreement is solely between the creator and the advertiser.
• Either side may cancel an accepted collaboration before the post is published; a creator may decline and an advertiser may withdraw an open offer. Consequences of cancelling (for example, prepayments) are for the users to settle between themselves.
• Payment for a collaboration is arranged directly between the users, outside the Service. We do not collect, hold, guarantee or refund these payments.
• Each user is responsible for their own taxes, invoices and reporting related to collaborations.
• We do not mediate or resolve disputes between users. If you have a dispute with another user, you release us from any claims arising from it.

4. Content and conduct

• Advertisers are responsible for their campaign content; creators are responsible for what they publish on X.
• Sponsored posts must comply with applicable law (including the U.S. FTC Endorsement Guides and similar rules elsewhere, e.g. clear "#ad" or "Paid partnership" disclosure) and with X's rules and paid partnership policies.
• You may not use the Service to promote or facilitate illegal products or services, scams, misleading or deceptive claims, hate, harassment, adult sexual content, malware or spam, or to infringe others' rights.
• We may refuse or remove campaigns in regulated or high-risk categories (for example gambling, crypto and other financial products, health claims, alcohol, tobacco, political advertising), even where they are lawful.
• You may not scrape the Service, reverse engineer it, interfere with its operation, circumvent security or rate limits, or create accounts by automated means.

5. Reviews and moderation

• Ratings and reviews reflect users' own opinions, not ours.
• Reviews must be honest and based on a real collaboration arranged through the Service. You may not post fake reviews, pay or accept payment for reviews, or threaten a negative review to gain an advantage.
• We do not verify reviews, but we may remove any content, offer, review or profile that we believe violates these Terms or the law.

6. Optional payments to paidpost

The Service is currently free to use. After a collaboration, a creator may choose to pay us an amount of their choice (from USD 3 to USD 1,000) via Stripe. These payments are sold and processed through Stripe Managed Payments, under which Stripe, Inc. (or its affiliate) acts as the merchant of record and reseller: Stripe processes the payment, calculates and collects applicable sales tax or VAT, issues the receipt and handles payment disputes, and your purchase is also subject to Stripe's terms shown at checkout. We never receive your full card details. These payments are entirely optional, do not affect visibility, ranking or ratings, are not charitable donations, and are non-refundable except where required by law.

If we introduce paid features, we will notify you in advance.

7. Your content and our license

You keep ownership of content you submit. You confirm that you have the rights to that content.

You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt (for example, resize or reformat), display and process it as needed to operate the Service — for example, to show a creator's public page (paidpost.net/@username) and catalog entry with their X profile details, prices and ratings. The license lasts for as long as the content is kept on the Service.

8. Our intellectual property and feedback

The Service, including its software, design and the paidpost name and logo, belongs to Plotnikov LLC. We grant you a limited, revocable, non-transferable right to use it under these Terms.

If you send us feedback or suggestions, we may use them without any obligation to you.

9. X integration

Linking an X account uses X's official OAuth with read-only access. We do not post on your behalf. Your use of X remains subject to X's own terms.

You can disconnect an X account in the app once it has no open offers or collaborations; we then revoke our access and delete its stored tokens, profile data, prices and schedule, and remove its public page. Records of past collaborations, messages and reviews remain available to the other party.

X may change or restrict its API, which may affect the Service.

10. Copyright and content complaints

If you believe content on the Service infringes your copyright or is otherwise unlawful, email support@paidpost.net with a link and a description. We will review it and remove it where appropriate.

11. Suspension, termination and changes to the Service

You may stop using the Service at any time and delete your account in the app (or ask us at support@paidpost.net). Open offers and collaborations must be finished, declined, withdrawn or cancelled first. Records of past collaborations, messages and reviews remain available to the other party without your email address.

We may suspend or terminate access if you breach these Terms, create risk for other users or for us, or where required by law.

We may change or discontinue the Service or any feature.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

We do not verify users' identity and do not vet creators, advertisers or campaigns. We do not guarantee that any collaboration will happen, that users will perform their obligations, or that follower counts and other data obtained from X are accurate or current. We are not responsible for any user's failure to pay, publish, or otherwise perform what they agreed with another user.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR OWNERS, EMPLOYEES AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, FOR LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, OR FOR ANY LOSS ARISING FROM AGREEMENTS OR PAYMENTS BETWEEN USERS.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF USD 100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.

Nothing in these Terms limits liability that cannot be limited by law.

14. Indemnification

You agree to indemnify and hold harmless Plotnikov LLC and its owners, employees and contractors from any claims, damages and expenses (including reasonable attorneys' fees) arising from your content, your campaigns or sponsored posts, your dealings with other users, or your breach of these Terms or applicable law.

15. Governing law and disputes

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law rules. The state and federal courts located in Travis County, Texas have exclusive jurisdiction, unless mandatory law where you live provides otherwise.

Before filing a claim, you agree to contact us at support@paidpost.net and try to resolve the dispute informally for 30 days. To the extent permitted by law, claims may be brought only on an individual basis, not as a class action.

16. Changes to these Terms

We may update these Terms. If changes are material, we will notify you by email or in the app at least 14 days before they take effect. Continued use after that means you accept the updated Terms.

17. General

These Terms and the Privacy Policy are the entire agreement between you and us about the Service. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in a merger, acquisition or sale of assets. Nothing in these Terms creates a partnership, agency or employment relationship.

Sections 3, 8, 12–15 and 17 survive termination.
