Safe Deal Terms
Last updated: October 31, 2026
These Safe Deal Terms apply when you buy or provide a sponsored post through Safe Deal on paidpost.net and app.paidpost.net (the "Service"), operated by Plotnikov LLC, a Texas limited liability company, 5900 Balcones Drive STE 100, Austin, TX 78731, USA ("paidpost", "we", "us", "our"). They add to our Terms of Service and Privacy Policy. If these Safe Deal Terms conflict with the Terms of Service, these Safe Deal Terms govern Safe Deals.
How you accept them. You accept these Safe Deal Terms by ticking "I agree to the Safe Deal Terms" before your first Safe Deal action: as a creator, when you turn on Safe Deal in the app; as an advertiser, before your first Safe Deal payment or Advance prepayment. We record the version you accepted, when, where in the app, and a one-way hash of your IP address. If you do not agree, do not use Safe Deal; you can still use the rest of the Service, including Direct deals.
If you use Safe Deal on behalf of a company or another person, you confirm that you are authorized to bind them to these Safe Deal Terms.
1. Definitions and scope
1.1. Words defined in the Terms of Service have the same meaning here. In particular:
- "Direct deal" — a collaboration where the advertiser pays the creator directly, outside the Service. paidpost is not a party to a Direct deal, and these Safe Deal Terms do not apply to it.
- "Safe Deal" — an optional way, chosen per collaboration, to buy a sponsored post: the advertiser buys the Placement from paidpost, and paidpost buys it from the creator, under these Safe Deal Terms.
- "Placement" — the publication of a sponsored post or a repost by the creator named in the offer, on that creator's X account, with the content, publication time and number of days, up to 7, the post stays up (for a pinned post, stays pinned) stated in the latest accepted version of the offer.
- "Price" — the price of the Placement stated in the latest accepted version of the offer, in U.S. dollars.
- "Service fee" — 7% charged when money comes into paidpost by card and when it goes out as a payout: added to each card payment to paidpost for Safe Deals (the part of a Price you pay by card, and each Advance prepayment), and deducted from each payout of Earnings (section 11.3). It is calculated in whole cents, rounded half up. Paying for a Placement from your Advance or from your Earnings carries no Service fee. The payout part of the Service fee returns to your Earnings if the payout fails or comes back (section 11.3).
- "Advance" — an advertiser's prepayment to paidpost for future Safe Deal Placements (section 7).
- "Earnings" — the amount paidpost owes a creator for completed Placements that has not yet been paid out or used to pay for Safe Deals (section 10).
- "Advertiser" — the user who buys a Placement in a Safe Deal; "creator" — the user whose X account is named in the offer.
1.2. A collaboration is a Safe Deal only if it is shown as a Safe Deal in the Service and paid through the Service. A payment made outside the Service is not a payment to paidpost, even if the offer is a Safe Deal; it is a matter between the users.
2. What Safe Deal is
2.1. paidpost sells the Placement to the advertiser. In a Safe Deal we are the seller and merchant of record of the Placement. Money the advertiser pays for a Safe Deal is paid to paidpost as the price of our service; card payments appear on your statement as PAIDPOST.
2.2. paidpost buys the Placement from the creator. The creator provides the Placement to paidpost as our independent contractor (section 9). What we pay the creator is our payment for their service, from our own funds.
2.3. No contract between advertiser and creator. In a Safe Deal the advertiser and the creator have no contract with, and no payment obligations to, each other. Each deals with paidpost.
2.4. We do not act as an agent, broker or payment intermediary of either side, and we do not receive money on behalf of users.
2.5. Safe Deal is optional. An advertiser chooses Safe Deal for a campaign or for a single offer before it is sent, or proposes it and leaves the choice to the creator; a creator may switch an open offer to Safe Deal before accepting it. Once an offer is accepted, it can't be switched to or from Safe Deal. A creator may choose to accept Safe Deals only.
2.6. Safe Deal may be unavailable for some creators, posts, amounts or accounts. Safe Deal isn't available for creators in the 18+ niche. The minimum Price is USD 10. Until you have completed your first Safe Deal as an advertiser, the Price of a Safe Deal you buy can't exceed USD 200; the same applies to your first Safe Deal as a creator.
3. Who can use Safe Deal
3.1. Advertisers: businesses only. Safe Deal is sold to businesses only. Before your first Safe Deal payment or Advance prepayment you give us your company name, country and, for businesses in the European Union or the United Kingdom, your VAT ID if you have one, and you confirm "I'm buying for my business, not as a consumer". You confirm these details are true and will keep them up to date.
3.2. Creators. A creator can provide Placements in Safe Deals only from an X account that is at least 90 days old and has at least 100 followers, according to data from X when an offer is sent or its price changes. You need a payout profile (section 11) to receive payouts.
3.3. Sanctions. Safe Deal is not available to anyone located in, or organized under the laws of, a country or region subject to comprehensive U.S. sanctions (currently Cuba, Iran and North Korea) or to anyone on a U.S. government list of restricted parties, including OFAC's Specially Designated Nationals and Blocked Persons List. We screen company names when you first pay or prepay, and creators' legal names before each payout, against OFAC's sanctions lists. Where a match is confirmed or the law requires it, we may refuse, pause or cancel a Safe Deal, refund the payment, decline a payout and close the account, in each case only as the law allows.
4. Buying a Placement (advertisers)
4.1. What you pay. You pay the Price. The part you pay by card carries the Service fee; the part you pay from your Advance or, if you are also a creator, from your Earnings doesn't. For example, for a Price of USD 100 you pay USD 107 by card, or USD 100 from your Advance or Earnings. All amounts are in U.S. dollars, are calculated by us and are shown before you pay.
4.2. Taxes. Prices and the Service fee don't include taxes. Where the law requires us to collect sales tax, VAT or a similar tax, we add it at checkout; it is calculated by Stripe and shown before you pay. Businesses in the European Union and the United Kingdom account for VAT themselves under the reverse charge and give us their VAT ID, which we keep with their business profile.
4.3. How you pay. You pay after the creator accepts the offer. We first apply your Advance to the Price, then your Earnings that have become payable (section 11.4; the USD 500 payout limit for new creators doesn't apply here), and you pay the rest of the Price, plus the Service fee on it, by card through Stripe. A card payment is at least USD 10 of the Price: if your Advance and Earnings would leave less than that to pay by card, we apply less of them — your Earnings first, then your Advance — so that you pay USD 10, plus the Service fee on it, by card; if they cover the whole Price, nothing is paid by card. Every card payment requires 3-D Secure or similar authentication where the card supports it. Your card is charged when you pay.
4.4. From the offer to the payment. Sending an offer costs nothing, and nothing is charged if the creator declines it or you withdraw it. The creator's acceptance doesn't bind you or the creator until you pay: until then either of you can cancel the deal in the app at no cost, and you can change the offer, which the creator then needs to accept again. You have 48 hours after the creator accepts to pay, but no later than one hour before the agreed publication time; the creator's publication time stays reserved for you meanwhile. The app shows the exact deadline, including the last moment to start a card payment; after that, you can pay only from your Advance or Earnings. If you don't pay in time, the deal is closed, the time is released and nothing is charged. Once you have paid, the Safe Deal is binding: the creator is to provide the Placement as accepted, and cancellations and refunds follow section 5. If a payment goes through after the deal was cancelled, closed or changed, it doesn't pay for that Placement and becomes a prepayment of your Advance: the Price goes to your Advance under section 5.3, the Service fee isn't refunded, and any tax collected on it stays collected, as on any Advance prepayment (section 7); any Advance applied returns to your Advance, and any Earnings applied return to your Earnings. We tell you in the deal and by email.
4.5. Limits. We may set limits for new accounts, such as those in sections 2.6 and 11.4, and show them in the app.
4.6. Delivery. After the creator publishes the post and marks it in the deal (adding its link, except for a repost, which has none), the post is checked automatically or manually during and at the end of the agreed period. Automatic checks use data that X makes publicly available and, for a pinned post or a repost, the access the creator gave us when linking the X account. The Placement is delivered when the last check, automatic or manual, confirms that the post is up (and, for a pinned post, pinned) on the right account. The Safe Deal is then complete, but not earlier than 48 hours after the post was published (section 6.1); your confirmation is not required. If an automatic check fails or X does not answer, we tell you and the creator, and you or we check the post manually.
4.7. Late publication. The creator publishes the post within one hour after the agreed publication time. If it isn't published within 12 hours after that time, we cancel the deal automatically and you receive a full refund under section 5.2.
4.8. No guarantee of results. We do not promise reach, impressions, engagement, clicks, followers, sales or any other result of a sponsored post. Results are not part of the Placement and are not grounds for a refund.
4.9. Your materials. You are responsible for the text, links, images and other materials you provide for a Placement and for the products and services they promote. You warrant that they are accurate, lawful and not misleading, that you have the rights to them, and that the promoted product or service is lawful where it is advertised. We and the creator may refuse materials that break the law, X's rules or our Terms of Service. You agree to indemnify and hold harmless Plotnikov LLC and its owners, employees and contractors from claims, damages and expenses (including reasonable attorneys' fees) arising from your materials or the products and services they promote.
5. Cancellations and refunds
5.1. This section is our refund policy for Safe Deals. It describes what we do when a Placement is cancelled or not delivered; it is not a promise that a post will be published.
5.2. Full refund of the Price. We refund the full Price if, before the Placement is delivered:
- the creator cancels after you paid;
- the post isn't published within 12 hours after the agreed publication time (section 4.7);
- the post is published on an account other than the one named in the offer;
- the post is removed, or a pinned post is unpinned, before the agreed period ends;
- our final check, automatic or manual, shows that the post can't be found on the right account or that a pinned post isn't pinned; or
- X removes the post or restricts the creator's account. In this case, if you agree, we may instead arrange a comparable Placement with another creator.
5.3. Where a refund goes. Refunds under this section go to your Advance, so you can use them for your next Safe Deals without paying the Service fee again; the part of the Price you paid from your Earnings goes back to your Earnings. The Service fee paid by card, and any tax collected on it, isn't refunded, except when we refund a payment to its card under section 8.4. If you'd rather have the money on your Advance back on your card, ask us under section 7.3. A refund that would take your Advance above USD 2,000 goes to your card; if the card can't take it, it stays on your Advance (section 7.5). When only part of the Price is refunded (section 5.4), your Advance and Earnings pages show where each part went.
5.4. If you cancel after you paid for a reason not listed in section 5.2 (for example, your plans changed), we review the deal under section 6 and decide either:
- to refund it: the Price goes to your Advance for your next Safe Deals; or
- to pay the creator a fair part of the Price for time reserved and work done (the creator receives that part in full), and refund the rest of the Price under section 5.3.
5.5. Anything before you pay — the creator declining or cancelling, you withdrawing, changing or cancelling the offer, or not paying in time — costs nothing (section 4.4).
6. Problem reports and our review
6.1. If you believe a Placement wasn't delivered as agreed — for example, the content doesn't match the latest accepted offer or a thread is incomplete — report a problem in the deal before it completes. A Safe Deal completes no earlier than 48 hours after the post is published, so you always have at least 48 hours after publication to report a problem. The creator may also report a problem. Cancellations after payment are reviewed the same way. A failed or unconfirmed automatic check doesn't start a review by itself: the post is checked manually (section 4.6).
6.2. As the buyer of the creator's service, we decide whether the Placement was delivered, on the basis of the latest accepted version of the offer, the deal chat, our checks of the post and what both sides send us. We normally decide within 5 business days. We may complete the deal, refund the advertiser under section 5, or split the Price: pay the creator a fair part of it for time reserved and work done (the creator receives that part in full) and refund the rest to the advertiser under section 5.3. We do not judge a post by its results.
6.3. Our decision is final within the Service. It does not limit any rights you have under applicable law or under section 15.
7. The Advance
7.1. Your Advance is a prepayment to paidpost for Safe Deal Placements you buy in the future. It can be used only to pay for Safe Deals or refunded to the card it was paid from (section 7.3); it can't be paid out, added to Earnings or transferred to another user or account, bears no interest and is not a deposit or bank account.
7.2. You may prepay your Advance by card, from USD 10 at a time. The Service fee is added to each prepayment: adding USD 100 costs USD 107. Paying for Placements from your Advance carries no further fee. Your Advance also receives refunds under section 5. Your Advance can't exceed USD 2,000 in total: you can't prepay above that, and a refund that would go above it is sent to your card or, if the card can't take it, stays on your Advance (section 7.5).
7.3. Refund on request. You can ask us to refund unused Advance, at least USD 1 and one request at a time, to the card or cards it was paid from; if that isn't possible, section 7.5 applies. The Service fee paid when the money was added, and any tax collected on it, isn't refunded. We send the refund within 5 business days of your request, unless the payment is under review under section 8.4 or the law requires otherwise; your bank may take a few more days to show it.
7.4. Inactive Advance. If your Advance has had no activity for 12 months, we refund it to your card and let you know.
7.5. Refunds of unused Advance carry no further fee: the Service fee was charged once, when the money was added. If a refund to the original card isn't possible, the amount stays in your Advance and, if you write to [email protected], we return it to an account of the same business by another method after confirming it's yours. Advance that stays unclaimed with no activity for 3 years is handled under applicable unclaimed property laws: we notify you before we report it and remit it to the State of Texas (or another state where the law requires).
8. Chargebacks and fraud prevention
8.1. Contact us first. Please contact us at [email protected] before disputing a Safe Deal payment with your bank.
8.2. Disputing a delivered Placement. If you dispute a card payment for a Placement that was delivered, we may contest the dispute with the deal's records (the offer, chat and our checks of the post) and suspend your account.
8.3. Refunded payments. If you dispute a card payment after we have refunded it to your card or credited it to your Advance, we may contest the dispute with the refund record. If your bank still returns the payment to you, we deduct from your Advance the amount we had already refunded or credited for that payment (without the Service fee), and any part your Advance doesn't cover remains owed to us: you can't pay for Safe Deals until a prepayment covers it, and that prepayment carries no Service fee up to the amount owed.
8.4. Fraud prevention. To prevent stolen-card payments and fake deals in Safe Deals we:
- require 3-D Secure or similar authentication on every card payment and screen payments with Stripe Radar;
- if a card's bank reports a payment as possibly fraudulent, may refund the payment to that card, cancel the Safe Deals paid with it that aren't complete yet and pause the advertiser's account for review; for a Safe Deal that was already complete, the creator keeps their fee unless section 12 applies;
- apply the limits for new accounts in sections 2.6 and 4.5 and the payout timing and limits in section 11;
- compare one-way hashes of the IP addresses and device identifiers used by the two sides of Safe Deals, as described in our Privacy Policy, and may pause a payout for review (section 12).
9. Providing a Placement (creators)
9.1. Independent contractor. When you accept a Safe Deal and the advertiser pays for it, you agree to provide the Placement to paidpost as an independent contractor. You are not our employee, agent or partner. You decide how to create the post within the accepted offer and use your own account, time and tools. You have no claim for payment against the advertiser in a Safe Deal.
9.2. Accepting, and the advertiser's payment. Check the offer and its materials before accepting. If you can't publish the post as offered — including because it would break the law or X's rules — decline the offer; declining costs you nothing. Accepting doesn't bind you until the advertiser pays: the advertiser has 48 hours after your acceptance, but no later than one hour before the agreed publication time, to pay, and until then you or the advertiser can cancel the deal in the app at no cost. We tell you by email and in the deal when the advertiser has paid; from then on you are to provide the Placement as accepted. Don't publish before the deal is paid. If the advertiser doesn't pay in time, the deal is closed and your publication time is released.
9.3. What counts as done. Publish the post as in the latest accepted version of the offer. The Placement is done when the post is up on the X account named in the offer (and, for a pinned post, pinned) for the agreed period, as confirmed by our last check. Our checks confirm only that the post is there; the advertiser checks that it matches the offer and can report a problem before the deal completes (section 6.1). You must mark the post as published in the deal, adding its link (a repost has none). Removing the post after the deal completes does not affect a completed Placement.
9.4. Your warranties. You warrant that:
- you own or are authorized to manage the X account;
- each sponsored post clearly discloses that it is an ad (for example, "#ad" or X's Paid partnership label) as the U.S. FTC Endorsement Guides and similar laws require, and follows X's rules and paid partnership policies;
- your audience and engagement are genuine: no bought followers, likes, reposts or views and no automated engagement; and
- the payout profile and tax information you give us are true and the payout account is in your name.
Our checks of the post do not cover the ad disclosure; complying with disclosure rules is your responsibility.
9.5. Indemnity. You agree to indemnify and hold harmless Plotnikov LLC and its owners, employees and contractors from claims, damages and expenses (including reasonable attorneys' fees) arising from your breach of these warranties or from what you publish.
10. Your fee and Earnings
10.1. Your fee. Your fee for a Placement is the full Price (for a Price of USD 100, USD 100 is credited to your Earnings). When the Safe Deal completes, we credit your fee to your Earnings. A payout of Earnings carries the payout fee in section 11.3.
10.2. If the deal is cancelled or the Placement isn't done, nothing is credited, except a part we decide to pay you after a review under section 5.4 or 6.2 (that part in full).
10.3. Your Earnings are our obligation to pay you for completed Placements. They bear no interest, are not a deposit or bank account, and can't be transferred to another user.
10.4. Using Earnings for Safe Deals. If you also buy Placements as an advertiser from the same account, you may use your Earnings that have become payable (section 11.4) to pay for Safe Deals, even beyond the payout limit for new creators, with no Service fee (section 4.3). The amount used is no longer owed to you as Earnings; if that Safe Deal is cancelled or refunded, it comes back to your Earnings under section 5.3. Earnings can't be added to your Advance.
11. Payouts
11.1. Payout profile. Before setting up a payout method you give us your legal name and country. Payouts are not available to creators located in a country or region listed in section 3.3.
11.2. Payout methods. We pay out:
- to a bank account through Stripe Connect, for creators in every country where Stripe Connect is available to us, as shown in the app. Stripe verifies your identity and the bank account. In the United States the Stripe Connected Account Agreement applies; in other countries, the Stripe Recipient Notice. This Stripe account is used only to receive our payouts; for help with it, contact us; or
- to a Payoneer account in your name (or another payout service we make available in the app, such as PayPal, where available), normally within 10 business days of your request.
11.3. Requesting a payout. You request a payout of your Earnings in the app and confirm it with a code sent to your email. Each payout carries a payout fee of 7% of the amount requested, deducted from it: for a payout of USD 100 you receive USD 93. The app shows the fee and what you receive before you confirm. The payment provider's own fees may also apply. The minimum payout is USD 100 of the amount requested, except that you may request any amount for Earnings older than 12 months, and once, for all your Earnings, when you close your account with no open deals and all your Earnings are payable (section 11.4); the payout fee applies to these payouts too. You can cancel a request until we process it. If a payout fails (for example, because of wrong details) or comes back to us, the amount requested, including the payout fee, returns to your Earnings. If your bank returns a payout from your Stripe account, the money stays in your Stripe account and Stripe pays it out again once your bank details are fixed.
11.4. When Earnings become payable. Earnings for a Placement become payable, and can be used for Safe Deals (section 10.4), 48 hours after the Safe Deal completes. A Safe Deal under review (section 6) completes only when the review ends. Earnings from a payment its card's bank reported as possibly fraudulent can't be used for Safe Deals while that payment is under review (section 8.4). In your first 30 days after your first completed Safe Deal, your payouts can't exceed USD 500 in total. The app shows when your Earnings become payable.
11.5. New payout details. Changing payout details in paidpost requires a code sent to your email; bank details in your Stripe account are changed in Stripe and protected by its sign-in. After any change of payout details, in paidpost or in Stripe, we don't send payouts for 48 hours. A payout requested before the change and not yet sent is cancelled, and the money returns to your Earnings. Money already in your Stripe account is paid out to your bank by Stripe on its own schedule.
11.6. We don't charge for inactivity. We remind you once a year about Earnings that can be paid out. Earnings that stay unclaimed with no activity for 3 years are handled under applicable unclaimed property laws: we notify you before we report them and remit them to the State of Texas (or another state where the law requires).
12. Withholding, set-off and payout review
12.1. We may withhold or set off amounts owed to you only where:
- the post was removed or unpinned before the agreed period ended;
- the engagement on the post or the account is fake;
- we credited or paid you an amount by mistake (for example, twice for the same Placement); or
- a chargeback or payment reversal was caused by you (for example, a deal you arranged with yourself or with someone acting with you).
12.2. We may also pause a payout while we review signs of fraud or collusion (for example, the advertiser and the creator of a Safe Deal using the same device), where the law requires it, or while your account is on hold under section 14 of the Terms of Service. When the review or hold ends, we pay it or withhold amounts under section 12.1. A review normally takes no more than 30 days; if it takes longer, we tell you why and what we need from you.
12.3. We tell you what we withheld and why. When we pause a payout for review, we tell you it is under review; for fraud and legal compliance reviews we may not be able to say more.
13. Taxes
13.1. You are responsible for your own taxes on payments for Placements.
13.2. For payouts through Stripe Connect, we collect your tax information through Stripe and, where U.S. law requires, file Form 1099 with the IRS and send you a copy. For payouts through Payoneer or another payout service we make available (such as PayPal, where available), the provider may issue Form 1099-K where required; where the law requires us to report those payouts instead, we ask U.S. creators for Form W-9 and file Form 1099. Before your first payout, creators outside the United States sign Form W-8BEN in the app; U.S. creators may be asked for Form W-9. We may pause payouts until the tax information we ask for is provided.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ABOUT A SAFE DEAL IS LIMITED TO THE PRICE OF THAT SAFE DEAL'S PLACEMENT, AND WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES OR FOR LOSS OF PROFITS, REVENUE, DATA OR GOODWILL. This does not limit our obligation to pay out Earnings for completed Placements, to refund an Advance under section 7 or to make refunds under section 5, or liability that cannot be limited by law.
15. Governing law and disputes
15.1. These Safe Deal Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law rules.
15.2. Before filing a claim, contact us at [email protected] and try to resolve it informally for 30 days.
15.3. The state and federal courts located in Travis County, Texas have exclusive jurisdiction over any dispute about a Safe Deal, unless mandatory law where you live provides otherwise.
15.4. Small claims. Either side may instead bring an individual claim in a small claims court in Travis County, Texas, or in the county where you are based, if the claim qualifies there.
15.5. To the extent permitted by law, claims may be brought only on an individual basis, not as a class action.
16. Changes to these Safe Deal Terms
We may change these Safe Deal Terms. A new version applies to Safe Deal actions after you accept it: we ask you to tick the checkbox again before your next Safe Deal action. A Safe Deal follows the version in effect when it was paid.
